The price and the terms depend on the type of business.

We have a simple formula for this & purchase based on the value of the business, what it is worth today.

We pay full market value. This is factored solely on the current financial performance in relation to all debts & liabilities of the business.

We pay full market value based on the EBITDA/SDE of the business, including factoring assets of the business, compared to its liabilities. 

Meaning, that as long as all of the information is verifiable, we pay top dollar for solid high quality, profitable businesses, that have a great reputation with a 3+ year history that are doing at least 500k per year in SDE/EBITDA.

Great question. Because they are 2 different models in which we buy.

For Healthcare it is the following; 1 million gross revenue and minimum 7% net profit.

For non Healthcare based businesses it is $500,000+ in EBITDA/SDE minimum. (Service Based Businesses)

The minimum requirements for non healthcare, service based business are the following:

1. The business must be profitable and earning at minimum $250,000 EBITDA/SDE & we buy in all 50 states
2. The business must be privately owned and not franchised
3. In business for 3+ years & have a solid reputation (this is to show history)
4. If there is a listing, the Broker/Investment Banker needs to be on board and be flexible. Meaning, open to when and how he/she is paid as we have many different ways of how we purchase businesses, including strategically partnering with the owner at times. Each business is looked at individually and each business, seller and situation is unique.
5. Flexible owners with positive mindsets and ease of workability. This is a relationship based business and whether we are purchasing the business outright or strategically partnering a good positive attitude and flexibility are key for us to consider purchasing a business. High integrity, following through on your word, patience and solid communication, are some of the major keys to successful relationships and partnerships.

This all depends on how your business is structured and how the real estate ties into that. For Example:

So there are 2 main things to note:

1. To qualify as a platform company, a minimum of $750,000 EBITDA/SDE is required as well as meeting the other listed requirements mentioned prior. 
– A platform company means that we will partner with you and you will be the base structure business in your market.
– As part of the strategy we will discuss 2 options for scale a. “Add On Companies” as part of m&a and/or b. organic growth ultimately to bring your company to a larger EBITDA. 
– the timeline varies relative to your goals as well as what we agree to as a game plan of action. 

2. We become partners.
– We setup a holding company, which you and your other owners become members of, and our company becomes members of.  
– We both have an ownership stake in the business
– We have a specific business plan drawn up that we agree upon so that everything is 100% clear and in writing
– Everything is unique in how this is structured AND is in a contract specific to what we both agree upon
– We collaborate and work together for the goal of exiting the business at a much larger multiple and/or a revenue share of what the business earns, if you are not planning on selling it and only want to grow it.
